Refinancing through a capital market can be carried out on using equity (keyword: Stock), by way of institutional credit (keyword: Loan), or through mixed forms of financing (keyword: Bonus Sharing).
Our vast experience in preparing and carrying out capital market projects has shown us how the equity option can often start with a straight market listing on a so-called “open market” without having to raise cash at the same time. One goal of this lean, efficient preliminary capital market venture is significant capital increase at a later date. Especially for smaller companies, such an open market listing is also recommendable since comparatively fewer authorization requirements must be fulfilled. In any case, the status of a company which has been allowed to be traded on the market is clearly boosted, therefore enabling - due to such a visibly positive development in your business - more impressive business credentials (or “track record”) to be documented
Following open market listing, a segment change at a future point in time can be more easily sought. Of course, the option of listing on a regulated market right away is also available.
As for the institutional credit option, a bond issue (pure credit capital) or bonus shares can be considered. This last option is a mixed form of financing which is customarily seen under taxation law as credit, but which is treated under trade law as equity.
